Company Secretary
SECRETARIAL ROLE
· Be responsible and manage the secretarial functions of the Company and therefore, a thorough understanding of Companies Act and the rules thereunder is the key.
· Ensuring half yearly, yearly and event based compliances applicable to the Company.
· Schedule, plan and organize Ad hoc/quarterly Board and Board Committee meetings.
· Prepare agenda and draft minutes of Board/Board Committee Meetings and Directors’ Report.
· Drafting resolutions as per the business requirements of the Company.
· Prepare and undertake all statutory and other filings including to the Registrar of Companies and the Ministry of Corporate Affairs.
· To maintain and record Statutory Registers as required under the Companies Act & Rules thereunder.
· Assist in the preparation of Annual Report and organizing the AGM/EGM.
· Work with other departments/team to ensure smooth conduct of Company’s affairs.
· Keeping the team updated with amendments and laws.
· Other day to day secretarial work such as managing requirements of statutory & secretarial auditors etc.
